A leading middle-market investment bank with over 20 years of experience advising public and private companies, as well as private equity firms, is aggressively growing in key sector verticals. Their services include mergers & acquisitions, capital markets, restructuring, and valuations, delivered by sector-focused teams with deep niche industry expertise. The firm operates across some of the largest sectors including Healthcare, Industrials, Technology, and Consumer.
We are partnered with their Technology Investment Banking platform. They are looking for seasoned Investment Banking MDs with established sector knowledge, network and relationships. They want proven revenue generation experience of ~$5mn in M&A fees per year.
Title – Software Investment Banking MD
Location – New York, Boston or Chicago (open to remote)
Compensation – 300k BASE, up to 30% of revenue generated

Role Overview:
They are seeking experienced Tech Managing Directors with deep sector expertise across vertical software markets – including Legal Tech, GRC, FinTech, InsurTech, HCM, and GovTech. The successful candidates will drive client coverage, originate and execute transactions, and play a central role in the continued growth of the Software Investment Banking platform.
Key Responsibilities:
• Originate, structure, and execute sell-side M&A transactions with enterprise values ranging from $100 million to $1 billion (core sweet spot $100 million–$500 million).
• Maintain and expand strong relationships with software founders, executives, and financial sponsors.
• Deliver high-quality strategic advice and execution excellence, with transaction fees typically in the $1.5–$2 million+ range per engagement.
• Build and lead deal teams, mentoring Directors, Vice Presidents, and junior bankers.
• Drive new business initiatives in high-growth verticals, with the opportunity to build out specialized teams alongside other senior hires.
• Contribute to the overall strategy and expansion of the Technology group.
Qualifications:
• 15-20 years of Investment Banking experience with a proven track record of closing M&A transactions in the software sector.
• Established niche expertise in one or more verticals: Legal Tech, GRC, FinTech, InsurTech, HCM, or GovTech.
• Strong network of C-level executives, founders, and private equity/venture capital investors.
• Demonstrated ability to originate and execute deals in the $100 million–$1 billion range.
• Entrepreneurial mindset with the capability to scale a platform and build a team.
• Exceptional leadership, client management, and communication skills.
