ESOP Investment Banking VP – REMOTE

  • Remote, CO

Smith Arnold Partners

We are engaged with a highly specialized national middle-market Investment Bank that has built a strong reputation within ESOP Advisory. The team works with privately held, founder-owned and family-owned businesses across the country, advising shareholders on ESOP transactions, ownership transitions, liquidity events and other strategic alternatives.

This is an opportunity to join a platform where ESOP Advisory is a core part of the business, not an ancillary product. The firm has an established senior team, strong deal flow and a growing pipeline that is driving the need to add another experienced banker at the VP level.
For someone coming from ESOP Advisory, middle-market M&A or a related corporate finance background, this is an opportunity to take meaningful ownership of transactions, work directly with business owners and senior decision-makers, and continue developing toward Director/MD responsibilities.

Focus: ESOP Advisory / Ownership Transition / M&A / Corporate Finance

Role Overview:

The VP will work directly with senior bankers and take significant responsibility for running active ESOP and ownership-transition engagements. You will be expected to manage the day-to-day transaction process, oversee junior bankers and serve as a key point of contact for clients and other transaction participants.
This is not a role where you will simply sit behind the scenes building models. The team is looking for someone who wants client exposure, transaction responsibility and the opportunity to continue progressing toward a senior advisory/origination role.

Role Responsibilities:

• Run the day-to-day execution of ESOP and related ownership-transition transactions. Be the QB on deal teams.
• Work directly with privately held businesses, founders, families and management teams evaluating liquidity and succession alternatives.
• Manage transactions from initial analysis and valuation through structuring, financing, diligence and closing.
• Oversee Associates and Analysts across active engagements.
• Lead financial modeling, valuation and transaction analysis.
• Coordinate with attorneys, lenders, trustees and other parties involved throughout the ESOP process.
• Work closely with senior bankers on pitches, new mandates and business development.
• Gain increasing exposure to client development and origination as you progress.

What We are Looking For:

• Approximately 6–10 years of Investment Banking, ESOP Advisory, M&A, Corporate Finance or related transaction experience.
• Direct ESOP experience would clearly stand out, but strong middle-market M&A bankers interested in developing ESOP expertise can also be considered.
• Experience taking ownership of transactions and managing junior deal teams.
• Strong financial modeling, valuation and transaction-structuring capabilities.
• Comfortable communicating directly with business owners, management teams and senior executives.
• Experience advising privately held, founder-owned or family-owned businesses is particularly relevant.
• Series 79/63 or other applicable FINRA licenses are preferred.
